The website located at www.carnotfleet.com (“Website”) is published, owned and operated by Carnot Fleet Pte Ltd (registered under Unique Entity Number (UEN): 202110724C), a Singapore private limited company with its registered office at 160 Robinson Road, #14-04, Singapore, 068914 (referred to herein as “Carnot Fleet”, “we”, “us” or “our”).

This Privacy Policy applies to the Website and the software application(s) (“Application(s)”) licensed to you (a user of the Services, as defined below) by Carnot Fleet which relate to the use of “Carnot Fleet” branded hardware sold or leased to you by Carnot Fleet, a subsidiary or affiliate company of Carnot Fleet or any third party (collectively, the Website and the Application(s) are referred to as the “Services”), and any other interactions you may have with us.

This Privacy Policy forms part of our Terms and Conditions of Service (“Terms”) and is legally binding on you.

Carnot Fleet is committed to protecting your privacy. This Privacy Policy explains how your personal information is collected, used, and disclosed by Carnot Fleet.

  1. Your Consent
    1. By accepting this Privacy Policy in any way, including for example, by signing a purchase order (or similar document) which expressly incorporates this Privacy Policy or checking a tick box or button on any website or in any software application and clicking “Agree”, and/or using or continuing to use the Services and/or the Website, you agree to be legally bound by this Privacy Policy. If you do not agree to this Privacy Policy, then do not use the Services or the Website.

      By accepting this Privacy Policy and/or accessing or using or continuing to use our Services, you signify that you have read, understood, and agree to our collection, storage, use, and disclosure of your personal information as described in this Privacy Policy and our Terms.

    2. We may change this Privacy Policy at any time by notifying you by email, using the Application(s) and/or by posting a notice on the Website. Unless stated otherwise, all changes take effect from the date set out in the notice. You are responsible for ensuring you are familiar with the latest Terms. By continuing to access and use the Services from the date on which the Terms are changed, you agree to be bound by the changed Terms.
  2. What Information Do We Collect?
    1. We collect personal information when you provide it to us and when you use our Services, as further described below. In this Privacy Policy, “personal information” means information about a living individual (a natural person) who can be identified from that information (or from that and other information either in our possession or likely to come into our possession), and any information about the individual associated with that information, and includes personal data, personally identifiable information and equivalent information under applicable privacy and data protection laws.
    2. Information You Provide to Us
      1. Account Creation: When you create an account or otherwise use the Service(s), we may provide you with the ability to do so using third party authentication services (such as your Google account, Facebook account, LinkedIn account and similar services) and we collect information such as your name, email address, mobile phone number and any other information we ask to set up an account for you, whether from such third parties (as described further in the third party sources section below) or otherwise. Likewise, you may also create an account by directly providing all the information asked for such a purpose, without using a third party authentication service.
      2. Your Mobile Media: We may also collect information from your mobile devices for a better user experience, such as device location, SMS and call related information, contacts list and photo gallery by allowing you to upload any picture from your phone. These features are optional and subject to you providing us with consent.
      3. User Content: All content added, uploaded, submitted, distributed, transmitted, or posted to or using the Services by you (“User Content”), whether publicly posted or privately transmitted, will be stored and accessible through the Services (though you acknowledge we have no obligation to store and make such User Content accessible for any period of time). User Content will be accessible to the users you decide to share such content with.
      4. Your Communications: We collect personal information from you such as email address, phone number, or mailing address when you request information about our Services, request customer or technical support, or otherwise communicate with us or any of our agents or representatives. We also collect the contents of messages or attachments that you may send to us, as well as other information you choose to provide, and that may be associated with your communications.
      5. Payment Information: When you choose to subscribe for Services, we may enable payment via the Services and will collect information relating to the subscription and payment information allowing you to pay us. We use third-party payment providers to process payments on the Service(s), and do not store any of your financial information.
      6. Newsletters: When you sign up to our newsletter and other electronic alerts, we collect your name, email address, user preferences and any other information you provide to us when you ask to receive our newsletter or other alerts.
      7. Surveys and Feedback: We may contact you to participate in surveys or to provide your feedback. If you decide to participate, you may be asked to provide certain information which may include personal information.
      8. Invitations: If you choose to invite someone to use the Service(s), we will collect their name, email address and any other information you choose to include in the invitation. We will use this information to invite him or her to join the Service(s). We store this information for the sole purpose of sending invitations.         Some of the personal information that we collect directly from you may be mandatory and some may be optional. We will let you know which of these applies at the time we collect the relevant personal information.

        While you do not have to provide us with some of the information that we may request, this might mean that our products and services may not perform as well as they should, or that we may not be able to provide some parts of the Services to you.

    3. Information Collected Automatically
      1. Automatic Data Collection: We keep track of certain information about you when you visit and interact with any of our Services. This information may include your Internet protocol (IP) address, user settings, MAC address, cookie identifiers, mobile carrier, details about your browser, operating system or device, location information (including inferred location based off of your IP address), Internet service provider, pages that you visit before, during and after using the Services, information about the links you click, information about how you interact with the Services, including the frequency and duration of your activities, and other information about how you use the Services. Information we collect may be associated with accounts and other devices.
      2. Cookies, Pixel Tags/Web Beacons, and Analytics Information: We, as well as third parties that provide content or other functionality on the Services, may use cookies, pixel tags, local storage, and other technologies (“Technologies”) to automatically collect information through the Services. Technologies are essentially small data files placed on your devices that allow us and our partners to record certain pieces of information whenever you visit or interact with our Service.

        “Cookies” are small text files placed in device browsers to store their preferences. Most browsers allow you to block and delete cookies. However, if you do that, the Service may not work properly.

        A “Pixel Tag” or a “Web Beacon” is a piece of code embedded in the Services that collects information about engagement on the Services. The use of a pixel tag allows us to record, for example, that a user has visited a particular web page or clicked on a particular link. We may also include web beacons in e-mails to understand whether messages have been opened, acted on, or forwarded.

    4. Third Party Sources
      1. Authentication Services: We collect personal information from third parties where you have authorised this. This includes accessing certain personal information from third party authentication services (e.g. Google, Microsoft, LinkedIn or Apple) if you login to your account with us using these services or otherwise provide us access to information from these sources. If you do not login using such third party authentication services and grant such access, we will not be able to provide our Service(s). The third party provider that we use will be displayed and you can visit its privacy policy for further details on how it deals with personal information.
  3. How Do We Use the Information We Collect?
    1. Any of the information we collect from you may be used in one or more of the following ways:
      • To enable you to access and use our Service(s).
        • We collect your identity information such as Name, phone number, email address, and more. We also leverage an authentication service (AWS Cognito) to maintain password-controlled access to the service.
      • To verify your identity.
        • Same as above.
      • To personalize your experience. Your information helps us to better respond to your individual needs, for example, by remembering whether you are an administrator or a user of the Services, the capacity in which you use the Services, any service issues encountered in the past, your messages or communications with us, and your past deliveries or trips.
        • We designate users as Viewers and Admins for our portal. The mobile app only provides basic user rights so that a Viewer can log in to the application and then activate BLE (Bluetooth Low Energy) connections manually or automatically as well as read sensor information for deliveries and receive notifications.
      • To communicate with you by responding to your requests, comments and questions. If you contact us, we may use your information to respond.
        • If there are app issues you may reach out directly to Carnot Fleet using the email or functionality provided for that purpose, for software concerns, comments, questions, or requests. Your concerns, comments, questions or requests would be collected as well.
      • To process your payments and otherwise servicing your orders.
        • We may use manual invoicing and/or vendors to process payments for our subscriptions.
      • To send emails and other communications. We may send you service, technical and other administrative emails, messages, and other types of communications. We may also contact you to inform you about changes in our Services, our offerings, and important notices. In addition, we sometimes send emails about new product features, promotional communications or other news about Carnot Fleet. These are marketing messages so you can control whether you receive them.
        To send you push notifications through our mobile app. You may opt out from receiving these types of communications by changing the settings on your mobile device. However, we strongly recommend against this since this may ruin user experience and functionality (specifically in the notifications realm and could even cause damage to payloads due to driver negligence. Opt out at severe risk only)
      • To develop and provide search, learning, insights and additional features. Carnot Fleet tries to make the Services as useful as possible for specific users. For example, we may improve search functionality by using your information to help determine and rank the relevance of content, provide insights based on historical use and predictive models to customize your experience, or create new features. We continually strive to improve our platform offerings based on the information and feedback we receive from you.
      • To measure interest and engagement in our Service(s), including analyzing your usage of the Service(s). We may use personal information and other data about you to create de-identified and/or aggregated information. De-identified and/or aggregated information is not personal information, and we may use and disclose such information in a number of ways, including research, internal analysis, analytics, and any other legally permissible purposes.
      • For any other purpose authorized by you or applicable law.
  4. How Long Do We Keep Your Information?
    1. We keep your personal information we receive for as long as you use our Services or as necessary to fulfill the purpose(s) for which it was collected, including to provide our Service(s), resolve disputes, establish legal defenses, conduct audits, pursue legitimate business purposes, enforce our agreements, and comply with applicable laws.
  5. International Transfers
    1. All information processed by us or our third party service providers may be transferred, processed, and stored anywhere in the world, which may have data protection laws that are different from the laws where you live. We and/or some or all of these third parties will use cloud-based storage solutions. We endeavor to safeguard your information consistent with the requirements of applicable laws, including the Singapore Personal Data Protection Act 2012 and the EU General Data Protection Regulation.

Where relevant, we will ensure that your rights under any applicable law will be the same even if such information is transferred to and stored outside of Singapore or if you are not based in Singapore, outside of your country of origin. You agree that we may transfer and store your personal data outside of Singapore, or if you are not based in Singapore, outside of your country of origin, provided all the requirements of applicable laws are complied with.
  6. How Do We Protect Your Information?
    1. We protect the information you provide from loss, misuse, and unauthorized access or disclosure. These steps take into account the sensitivity of the information we collect, process and store, and the current state of technology. Given the nature of communications and information processing technology, Carnot Fleet cannot guarantee that information during transmission through the Internet or while stored on our systems or otherwise in our care will be absolutely safe from intrusion by others.
    2. By using the Service(s) or providing personal information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Service(s). If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on the Service, by mail or by sending an email to you.
    3. You play an important role in keeping your personal information secure by maintaining the confidentiality of any accounts used in relation to our Services. You should not disclose your account to third parties. Please notify us immediately if there is any unauthorised use of your account or any other breach of security.
  7. How Do We Share And Disclose Information?
    1. This section describes how Carnot Fleet may share and disclose information. You determine your own policies and practices for the sharing and disclosure of the information, and Carnot Fleet does not control how you choose to share or disclose information.
      • Your Instructions. Carnot Fleet will solely share and disclose your information in accordance with your instructions, and in compliance with applicable law and legal processes.
      • Third Party Service Providers and Partners. We engage third party companies or individuals as service providers or business partners to process personal information and support our business. These third parties may, for example, provide virtual computing and storage services, or we may share business information to develop strategic partnerships with Third Party Service providers to support our users. These include (but are not limited to):
        • Google Cloud Platform
        • Firebase
        • Mixpanel
        • Algolia
        • Brinks Korea
        • Amazon Web Services
      • Payment Processing, Credit Checks and Fraud Prevention. We will disclose your personal data to third party providers for the purposes of providing online and other payment services, handling credit checks and fraud prevention, or product or subscription cancellation, delivery or returns;
      • Aggregated or De-identified Data. We may disclose or use aggregated or de-identified information for any purpose. For example, we may share aggregated or de-identified information with prospects or partners for business or research purposes.
      • Event of Merger, Sale, or Other Asset Transfer. If we are involved in a merger, acquisition, financing due diligence, reorganization, bankruptcy, receivership, purchase or sale of assets, or transition of service to another provider, then your information may be sold or transferred as part of such a transaction, as permitted by law and/or contract.
      • To Comply with Laws. If we receive a request for information, we may disclose your information if we reasonably believe disclosure is in accordance with or required by any applicable law, regulation, or legal process.
      • To enforce our rights, prevent fraud, and for safety. To protect and defend the rights, property, or safety of Carnot Fleet, including enforcing contracts or policies, or in connection with investigating and preventing fraud or security issues.
      • With Consent. Carnot Fleet may share your data with third parties when we have consent from you to do so.

        We use reasonable efforts to ensure that third party service providers provide sufficient assurances that they comply with all applicable law, including the Singapore Personal Data Protection Act 2012 and the EU General Data Protection Regulation. 8 Sensitive Personal Information

    1. If you provide us with sensitive information in the course of interacting with our Service(s), we will only use sensitive information for the purpose of storing and processing it as part of our Service(s). Sensitive information may include information about you such as racial or ethnic origin, religious beliefs, political affiliation, sexual preferences and criminal records, as well as health and genetic information about you. If you do not consent to the processing and storing of your sensitive information, it is therefore important that it not be submitted to us in the course of your usage.

    1. To the extent prohibited by applicable law, Carnot Fleet does not allow use of the Services by anyone younger than 16 years old. If you learn that anyone younger than 16 has unlawfully provided us with personal information, please contact us and we will take steps to delete such information.

    1. You have certain data protection rights. In certain circumstances, you have the following data protection rights:
      • Right of access: If you ask us, we will confirm whether we are processing your personal information and provide you with a copy of that personal information (in a structured, commonly used, and machine-readable format), and you may also request information about the ways in which personal data about you may have been used or disclosed during the past year. We may charge you a small fee for this service.
      • Right to rectification: If the personal information we hold about you is inaccurate or incomplete, you have the right to have it rectified or completed. We will take reasonable steps to ensure inaccurate personal information is rectified.
      • Right to erasure: when your personal information is no longer needed for the purposes for which you provided it, we will delete it. You may request that we delete your personal information and we will do so if deletion does not contravene any applicable law or compromise any party’s legal rights.
